Terms of Use

1. Who you are contracting with
These Terms of Use govern your access to and use of the Gayle Formation Theory (GFT) platform, courses, tools, and certification services (the "Service"). The Service is provided by GayleSolutions ("GayleSolutions", "we", "us"), located in Elmont, New York, United States. By using the Service you are contracting with GayleSolutions.
2. Acceptance of these terms
By creating an account, purchasing access, or otherwise continuing to use the Service, you agree to be bound by these Terms and by our Privacy Notice and Refund Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of a school, district, or organization, you represent that you have authority to bind that organization. Individual users must be of legal age in their jurisdiction.
We may update these Terms from time to time. Material changes will be reflected in the "Last updated" date above, and continued use after that date constitutes acceptance.
3. Your account
You must provide accurate information and keep it current. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us promptly at pr@gaylesolutions.com of any unauthorized use.
4. Licence and restrictions
Subject to these Terms and your selected plan, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your own professional practice. You may not reverse engineer, resell, sublicense, redistribute, or circumvent technical limits of the Service.
5. Acceptable use
You must not:
- use the Service unlawfully or for fraud, spam, or harassment;
- infringe the intellectual property or privacy rights of others;
- interfere with the security or integrity of the Service, including malware, probing, scanning, or scraping;
- misrepresent authorship of portfolio evidence, lesson plans, or assessments submitted for certification;
- upload student personally identifiable information — including names, photos, contact information, or identifiable audio or video — to any part of the platform.
AI tools may be used to draft or refine language, but the pedagogical content, judgment, and evidence submitted for certification must be your own. Reviewers may request disclosure of AI use.
6. Intellectual property
GayleSolutions retains all right, title, and interest in the Service, including its software, course content, rubrics, gradebooks, certification standards, documentation, and branding. GFT™, Gayle Formation Theory™, GFI™, and SFI™ are trademarks of GayleSolutions. You retain ownership of content you submit and grant us a limited licence to host and process it solely to provide the Service, including human review of certification evidence.
7. Certification: access, not a guarantee
Payment provides access to the GFT certification process. Certification is awarded only after a candidate successfully completes all published requirements. Payment does not guarantee certification. GFT credentials are professional recognitions issued by GayleSolutions; they are not a state-issued teaching license, an academic degree, or a substitute for either.
8. Payment, billing, and subscription terms
Prices are displayed at checkout in the applicable currency and may exclude taxes, which are calculated at checkout based on your location. One-time purchases are charged in full at the time of order. Where a plan renews on a recurring basis, it renews automatically for successive terms at the then-current price until cancelled, and you may cancel at any time before the next renewal date; cancellation takes effect at the end of the current paid period.
Payment, billing, tax, cancellation, and refund mechanics are handled by our reseller Paddle and are additionally governed by the Paddle Buyer Terms.
9. Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
10. Refunds
Our refund terms are set out in the Refund Policy, which forms part of these Terms.
11. Service availability and warranty disclaimer
The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, and we may modify, suspend, or discontinue features. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for loss of profits, data, or goodwill. Our aggregate liability arising out of or relating to the Service is limited to the fees you paid to us in the twelve months preceding the claim. Nothing excludes liability for fraud, death, or personal injury caused by negligence where such exclusion is prohibited by law.
13. Indemnity
You will indemnify GayleSolutions against claims arising from content you submit, your unlawful use of the Service, or your breach of these Terms.
14. Suspension and termination
We may suspend or terminate your access, in whole or in part, for material breach of these Terms, non-payment, suspected fraud or security risk, or repeated or serious policy violations — including uploading student personally identifiable information or misrepresenting authorship. Where practical, we will give notice and an opportunity to cure. You may stop using the Service at any time. On termination, your right to use the Service ends; we will make reasonable efforts to allow export of your own submitted content for 30 days before deletion. Credentials already issued remain valid unless revoked for cause, including fraudulent representation.
15. Credential verification
Credentials issued by GFT may be independently verified through the public credential verification tool. Fraudulent representation of GFT credentials is grounds for revocation.
16. Governing law and disputes
These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law rules. The state and federal courts located in New York have exclusive jurisdiction, subject to any mandatory consumer protections in your country of residence.
17. General
You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. If any provision is unenforceable, the remainder stays in effect.
